Mezzanine finance is an increasingly important part of the financing spectrum for lenders, corporations and project finance. Most mezzanine products are designed legally as debt instruments, but they are often exposed to equity-like risk. Proper pricing is therefore required. However, since most of the products are considered debt products, term sheets and covenants are essential to model the risk in an appropriate way.

The flexibility afforded by mezzanine products is appreciated as it allows firms to structure their balance sheet in a way that acknowledges the financial sensitivities in the firm’s, or project’s, business model. That flexibility has triggered countless innovations during the last 15 years, taking into account different and evolving risk appreciation and industry specifics. Most of that innovation has occurred through contractual arrangements and adjustments. Mezzanine finance has become an area where finance, legal, accounting and credit assessment come together and are blended with industry specifics.

About the Author

Luc Nijs is the founder, chairman and group CEO of The Talitha Group, a global merchant banking group and global investment holding. Before that he was with Arthur Andersen and Deloitte. In addition, Luc provides extensive advisory, executive coaching and financial training for corporations, investment funds and financial institutions, and is active in over 160 countries worldwide on a wide array of strategy, investment and capital allocation issues. 

He has held academic positions in international taxation, finance and capital markets at UAMS/IPO (Belgium), Instituto de Empresa (Spain) and most recently the Aizkraukles Banka Chair in investment banking, private equity and entrepreneurial finance at the Riga Graduate School of Law (Latvia).

Luc is fluent in Dutch, English, French, German, Portuguese and Spanish and is competent in Russian and Chinese.

Great overview of a space that is not otherwise well covered

Outside of this book, little is written to directly address the mezzanine subset, and this is the first book I have seen that provides a fairly comprehensive look into the structural flexibility that makes mezzanine so interesting ( and perhaps what makes it hard to cover neatly). This may not be the end of your research depending on the depth you are seeking, but it should absolutely be the beginning.

Best book for L O S S. E V E R.

I have bought so many copies of this book I need to buy stock. First time someone gave me a copy in 1984 when my dad died I threw it in the closet thinking no book will ever help me. Four years later my mother died. I found the book in my closet. I read it: It helped me.
I read it when I broke up with the love of my life: It helped.
I read it when my furry little friend died; when my other furry little friend died; When I got divorced; When my next furry little friend died; When I lost out on a job; When I got fired from my job.......I read this book so much I should have it memorized.
Now whenever someone close to me experiences a loss I get them a copy of this book.
I have watched the cover change over the years. I so wish they would go back to the gold & white cover.

This is by far the best book I have read on the grieving process

This is by far the best book I have read on the grieving process. Anyone who is experiencing loss and grief should read this book. The authors begin with, "When an emotional injury takes place, the body begins a process as natural as the healing of a physical wind. Let the process happen. Trust the process. Surrender to it".

Excellent Guide for Loss management! A grief resource.

I purchased the Hardcover for a friend who recently had a loss! Unfortunately, Amazon did not send 2 hardcovers as I had ordered! I was sent 1 paper back and 1 hardcover! I was quite disappointed! The book is an essential grief guide! It gently and professionally helps you cope with the pain of loss! I purchased the book originally in 1976 as I ended a love affair! I referred to it again in 1981 following my fathers death, in 2004 on hearing my diagnosis of a serious illness, in 2006 upon my retirement from 35 years of employment and in 2010 when my beloved husband died! My 1976 copy is written in with little pictures and faces that I've drawn, names,dates and my thoughts and feelings at that time...my personal diary! An excellent book!

About the Author:
Dr. Duane Knudson is Associate Dean and Professor of biomechanics in the Department of Kinesiology at California State University, Chico.  He earned his Ph.D. in biomechanics from the University of Wisconsin-Madison and has published extensively on the biomechanics of tennis and exercise.  Dr. Knudson co-authored the first scholarly book on the qualitative analysis of human movement, and his research has earned him fellow status in the American College of Sports Medicine and the Research Consortium of AAHPERD.

Don't listen to the person who gave this book only one star. He's obliviously just plain ignorant. This book is the best out there. Believe me, I have tried many books and wasted my money. I have tried online tutorials, Video courses in the past but nothing comes close to this book.

If you want a solid understanding of HTML5 and CSS 3 this is what you need.

It starts out with the basics. There's JavaScript and JQuery chapters for you to get started on those subjects as well

Lots of Real World Help

This book covers a lot more ground than pure "negotiation". Any one who deals with other people in one way or another can get something out of the concepts of interpersonal relationships that are depicted. The examples come from the world of business, sports, and entertainment. In addition, the author provides very useful summaries at the end of each chapter.
That said, if this is the first book of its kind that you are tackling, I would recommend starting with the classic book Getting to Yes by Roger Fisher and William Ury, which is referenced prominently by Dr. Wheeler.

I've read most of the negotiation books out there, and this is one of the best. The stories are entertaining, the advice is useful, and the writing is engaging and clear. Most importantly, Wheeler makes an important contribution by reminding us that negotiation can be a chaotic, ever-changing enterprise that is best approached with an open mind and an arsenal of improvisation skills. Drawing from disciplines such as jazz, improv comedy, and therapy, Wheeler artfully shows us how to overcome negotiation performance anxiety while at the same time remaining alert and focused.

A Lively Surprise

Who would have thought a book about the techniques of negotiation would be such an entertaining read? It seems such a tense business to most. Well, first of all, "The Art of Negotiation" is rich in anecdotes that recount actual transactions (and sometimes confrontations!) - a home purchase, sale of a company, a zoning dispute. The variety of turns these negotiations took based on choices made by the adversaries is followed here. And this book argues effectively that 'adversaries' may indeed be a misguiding word, as co operation and above all, imagination, sometimes of antic dimension, is what works in the difficult situations where parties seem irreconcilable at the start.

The author respectfully acknowledges previous research, surveys and writing on the topic of negotiation. But it seems to me that this book might be all you need to get the best deal available whether you are buying or selling a car or a country.

David Dvorin (Chico, CA) is an Emmy-nominated composer, arranger, performer, and music producer. He has composed music for film, video game, and television projects, and has worked with the Kronos Quartet and renowned composer Terry Riley. He is currently composing for concert works. In addition to his musical activities, David helped develop the education market for eMagic, Inc. (the original developer of Logic) and Apple Computer. A frequent presenter at music technology conferences, David is currently a professor of music composition and electronic music at California State University, Chico.

This is the book you want

This book comes with very nicely prepared Logic files to follow along with almost every chapter. Dvorin covers just about everything that Logic can do at a reasonable pace, and he adds expert advice throughout for speeding up workflow and getting the most out of the DAW.

Note that not much has changed in this book from the previous version, "Logic Pro 9 Advanced Music Production."

It has been a terrible experience!

I bought this book new from Amazon and the access code for the digital content doesn't work! When I enter it, it tells me the code is already in use! If you've used this kind of book before, you know that the digital lesson content is integral part of the learning process. i contacted the publisher and they first tried to tell me that Amazon was who was responsible. They honestly seemed clueless and didn't know what to do except point the finger away from themselves. It has been a terrible experience!

This book is not only for cable nerds. It is an unprecedented summary of most aspects of the subject. Investors, managers, planners, environmentalists, authorities will have good use of it. As there was no such book before it will probably advance into the standard library of universities and technology colleges.
